TERMS AND CONDITIONS

These Terms and Conditions (“Agreement”) are entered into by and between you (“Client”, “you”, or “your”) and Orrkumedia, a division of Orrku LLC, a California limited liability company based in Huntington Beach, CA (“Orrku”, “we”, “our”, or “us”). By using any of our services, you accept and agree to be legally bound by these Terms.

1. Scope of Services

Orrkumedia offers digital marketing and media services including, but not limited to:

  • Website design, development, and hosting

  • Social media strategy and management

  • Google Business and Yelp account setup/optimization

  • Brand identity, graphic design, and creative services

  • SEO (Search Engine Optimization)

  • Video production, photography, and related editing

The exact deliverables, pricing, and timelines will be defined in a signed Statement of Work (SOW) or Proposal.

2. Client Responsibilities

Clients agree to:

  • Provide accurate, up-to-date personal and business information

  • Supply necessary content, files, branding materials, and login credentials

  • Approve deliverables and revisions in a timely manner

  • Ensure you have the right to share any intellectual property used in the project

  • Not violate applicable laws, regulations, or third-party rights

Orrku LLC is not responsible for delays or damages resulting from the client’s failure to cooperate or provide materials.

3. Payments and Fees

  • Unless otherwise stated, 50% of the total project cost is due up front and the balance upon delivery.

  • Monthly retainer services are billed in advance.

  • Invoices must be paid within 7–14 days of issue.

  • Late payments may incur a 1.5% monthly interest fee or the highest rate allowed by California law.

  • Non-payment may result in service suspension or termination, and legal collection efforts.

4. Intellectual Property

All deliverables created by Orrku LLC remain our property until payment is made in full. Upon full payment, the client is granted a non-exclusive, non-transferable license to use the work for its intended business use.

Orrku reserves the right to showcase completed projects in our portfolio unless the client specifically requests otherwise in writing.

5. Confidentiality

Both parties agree to maintain strict confidentiality of any personal, business, or proprietary data, including marketing plans, access credentials, and user information.

We will never disclose or sell your confidential information to third parties unless required by law or needed to fulfill a service agreement.

6. Limitation of Liability

Orrku LLC shall not be liable for any indirect, incidental, punitive, or consequential damages, including but not limited to:

  • Loss of revenue, profits, or business opportunities

  • Data loss or corruption

  • Advertising or platform issues from third-party services (e.g., Meta, Google, Yelp)

In no event shall Orrku LLC’s total liability exceed the total amount paid by the client in the previous 90 days.

7. Disclaimer of Warranties

All services are provided “as is” and “as available.” We make no warranties or guarantees regarding:

  • Rankings, views, leads, sales, or advertising results

  • Performance of third-party platforms

  • Uninterrupted or error-free operation of our services

We disclaim all express or implied warranties, including merchantability and fitness for a particular purpose.

8. Indemnification

You agree to indemnify, defend, and hold harmless Orrku LLC and its officers, contractors, and affiliates from any claims, liabilities, damages, or legal costs arising from:

  • Your use or misuse of our services

  • Your violation of third-party rights or any law

  • Your breach of this Agreement

9. Force Majeure

Orrku LLC shall not be held liable for any delay or failure to perform due to events beyond our control, including but not limited to:

  • Natural disasters or pandemics

  • War, civil unrest, or terrorism

  • Platform outages or major service interruptions

  • Governmental actions or regulations

10. Dispute Resolution and Governing Law

This Agreement is governed by the laws of the State of California. Any disputes arising under or in connection with these Terms shall be resolved:

  • Exclusively in the state or federal courts of Orange County, California

  • Optionally through binding arbitration under the rules of the American Arbitration Association (if both parties agree in writing)

11. Changes to These Terms

We reserve the right to modify these Terms at any time. Updates will be posted on our website and are effective immediately. Continued use of our services constitutes acceptance of the revised Terms.

  • Complete project or billing responsibilities

  • Comply with tax, legal, or regulatory requirements

7. Children’s Privacy

We do not knowingly collect information from children under age 16. If we become aware of such data, it will be deleted immediately.

8. Changes to This Policy

We may revise this Privacy Policy. Updates will be posted on our website. Continued use of our services after any changes constitutes acceptance.
